1Agreement to these terms
These Terms of Service ("Terms") are a binding agreement between you and Mola. By visiting buymola.com, creating an account, passing our researcher verification, or placing an order, you agree to these Terms and to our Research Use Only Policy, Prohibited Uses Policy, Trademark & Non-Affiliation Notice, Privacy Policy, Shipping Policy and Returns & Refunds Policy, which form part of these Terms. If you do not agree, do not use this website.
PLEASE READ THE "DISPUTE RESOLUTION" SECTION CAREFULLY. IT REQUIRES INDIVIDUAL ARBITRATION OF DISPUTES AND WAIVES YOUR RIGHT TO A JURY TRIAL AND TO TAKE PART IN A CLASS ACTION.
2Eligibility
- You must be at least 21 years old.
- You must be a qualified researcher purchasing solely for in vitro laboratory research, and must not be purchasing for yourself or any other person or animal to use.
- You must provide true, accurate and complete information about your identity, organization, billing and shipping, and keep it up to date.
- You must not be barred from purchasing under any applicable law, and you must not have been previously banned by us.
3Your representations at every purchase
Each time you place an order you represent and warrant that: (a) the statements in your researcher confirmation are true; (b) the products will be used only for lawful in vitro research; (c) the products will not be used in, or provided to anyone for use in, humans or animals; (d) you will not resell, relabel, repackage or distribute the products; and (e) you have read and understood the Research Use Only Policy. We rely on these representations in accepting your order.
4Accounts
You are responsible for everything that happens under your account and for keeping your password confidential. Accounts are personal and may not be shared, sold or transferred. Tell us immediately if you suspect unauthorized use.
5Orders, acceptance and pricing
Your order is an offer to buy. An order is accepted only when we ship it. An order confirmation email is not acceptance. We may refuse or cancel any order, in whole or in part, before or after confirmation, including for suspected misuse, failed verification, suspected fraud, errors in pricing or product information, or limits on quantity. If we cancel after charging you, we will refund the amount charged.
Prices are in U.S. dollars and may change at any time without notice. Discounts and promotional codes apply only as stated at checkout, have no cash value, and may be withdrawn at any time.
We may limit quantities per order, per customer, per address or per payment method.
6Payment
Payment is taken at checkout through a third-party payment processor. By paying you authorize the charge. You agree not to file a chargeback or payment dispute for an order that was delivered as described; contact us first so we can resolve any problem. Improper chargebacks may result in account closure and recovery of the amount and any related fees.
7Title and risk
Title to and risk of loss of products pass to you when we hand the parcel to the carrier. Our Shipping Policy describes how we handle parcels that are lost or damaged in transit.
8Product information
We try to describe products, purity figures and certificates of analysis accurately. Certificates of analysis report the results of testing on a specific batch at a specific time and are provided for information only. Images are illustrative. We do not warrant that product descriptions or other content are complete, current or error-free.
9Disclaimer of warranties
TO THE FULLEST EXTENT PERMITTED BY LAW, PRODUCTS AND THIS WEBSITE ARE PROVIDED "AS IS" AND "AS AVAILABLE". MOLA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. NO PRODUCT IS WARRANTED AS SAFE OR SUITABLE FOR ANY USE IN HUMANS OR ANIMALS.
10Assumption of risk
You understand that research chemicals can be hazardous and that their properties may not be fully known. You assume all risks connected with the handling, storage, use, misuse and disposal of products, including any use in breach of these Terms.
11Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW: (A) MOLA AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, SUPPLIERS AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY PERSONAL INJURY, ILLNESS, DEATH, LOST PROFITS, LOST DATA OR LOST RESEARCH RESULTS, HOWEVER CAUSED; (B) WE WILL NOT BE LIABLE FOR ANY HARM ARISING FROM USE OF A PRODUCT IN HUMANS OR ANIMALS OR OTHERWISE IN BREACH OF THESE TERMS; AND (C) OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO ANY ORDER IS LIMITED TO THE AMOUNT YOU ACTUALLY PAID US FOR THAT ORDER.
Some jurisdictions do not allow certain exclusions or limits, so some of the above may not apply to you, but only to the extent required by law.
12Indemnification
You will defend, indemnify and hold harmless Mola and its owners, officers, employees, contractors, suppliers and agents from and against all claims, demands, suits, investigations, losses, liabilities, damages, fines, penalties, costs and expenses (including reasonable attorneys' fees and expert costs) arising out of or relating to: (a) your purchase, receipt, handling, use, misuse, resale or disposal of any product; (b) any use of a product in or on a human or animal; (c) any claim by a third party, including any claim of patent, trademark or other intellectual property infringement, arising from your use or distribution of a product; (d) any false statement in your researcher confirmation or account; or (e) your breach of these Terms or of any law.
13Termination and enforcement
We may suspend or terminate your access, cancel open orders and permanently ban you at any time, without notice, if we believe you have breached these Terms. Where you have breached the research-use or prohibited-use rules, we may also retain records, and cooperate with law enforcement and regulators.
14Dispute resolution and arbitration
Informal resolution first: before starting any claim, you agree to email hello@buymola.com with a description of the dispute and give us 60 days to try to resolve it.
Binding arbitration: any dispute, claim or controversy arising out of or relating to these Terms, this website or any product ("Dispute") will be resolved by final and binding individual arbitration administered by the American Arbitration Association under its applicable rules, before a single arbitrator, seated in Broward County, Florida. Judgment on the award may be entered in any court of competent jurisdiction. Either party may instead bring an individual claim in small claims court if it qualifies.
Class action and jury waiver: Disputes will be resolved only on an individual basis. You waive any right to bring or participate in a class, collective, consolidated or representative action or arbitration, and you waive any right to a jury trial.
Exceptions: either party may seek injunctive or other equitable relief in court to protect its intellectual property or to stop misuse of products. If the class action waiver is found unenforceable for a particular claim, that claim will proceed in the state or federal courts located in Broward County, Florida, and you consent to their jurisdiction.
Time limit: to the extent permitted by law, any Dispute must be started within one (1) year after it arose, or it is permanently barred.
15Governing law
These Terms are governed by the laws of the State of Florida and applicable U.S. federal law, including the Federal Arbitration Act, without regard to conflict-of-law rules.
16General
These Terms and the policies they incorporate are the entire agreement between you and us about their subject. If any provision is found unenforceable, it will be enforced to the maximum extent permitted and the rest will remain in effect. Our failure to enforce any provision is not a waiver. You may not assign these Terms; we may. Sections that by their nature should survive termination (including research-use obligations, disclaimers, limitation of liability, indemnification and dispute resolution) survive.
We may change these Terms at any time by posting a new version on this page. The version in effect when you place an order applies to that order; continued use of the website after a change means you accept it.
